Declaration of Operational Flow Order
Per Section 8.5 of the Eagle Ford Midstream LLC (“EFM”) Statement of Operating Conditions, EFM hereby notifies transport customers that an Operational Flow Order (“OFO”) is in effect as of 9:00 a.m. (CST) January 18, 2025, and until further notice in order to preserve the overall operational balance and integrity of the pipeline.
During this OFO event, Shipper must confirm actual receipts and deliveries to nominated and scheduled receipts and deliveries.
If Shipper fails to adjust its receipts and/or deliveries in compliance with an OFO, then Shipper must pay EFM a charge equal to the greater of: (i) the highest daily price of gas at the location closest to the applicable Receipt Point(s) or Delivery Point(s) as stated in Gas Daily plus $2.00 or if Gas Daily is unavailable another similar publication plus $2.00, or (ii) $10.00, for each MMBtu received or delivered under the Confirmation at the Receipt Point(s) or Delivery Point(s) during each hour in which deliveries are greater than 110% or less than 90% of the Scheduled Quantities at the Receipt Point(s) for such hour, less Retention Quantities, while the Operational Flow Order is in effect. In addition, Transporter may take any action necessary to alleviate the operational situation.
If Shipper fails to abide by an OFO issued pursuant to Section 8.5, then Shipper will also be responsible for any and all damages asserted by any third parties, and will indemnify EFM against any Losses resulting from, or arising out of, Shipper's failure to comply with the OFO.
EFM will post a notice once the OFO ends.
